Official Rules
NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID OUTSIDE THE ELIGIBLE AREAS (DEFINED BELOW) AND WHERE PROHIBITED BY LAW.
1. Sponsor: Alexander Wang LLC, 386 Broadway New York NY 10013 (“Sponsor”).
2. Eligibility: To be eligible for the “Alexander Wang Pop Up Sweepstakes” (the “Promotion”), as of the start of the Promotion Period (defined below), participants must (i) be at least eighteen (18) years old, (ii) own an Apple iPhone, and (iii) be a legal resident of either the Greater New York Metropolitan Area or the Greater Los Angeles Metropolitan Area (the “Eligible Areas”). Officers, directors and employees of Sponsor and its partners, affiliated companies, advertising and promotion agencies are not eligible to participate (collectively, the “Promotion Entities”), and each of their immediate family members and/or those living in the same household (whether legally related or not) are not eligible to enter or win. Winning the prize is contingent upon fulfilling all requirements set forth herein. The Promotion is void outside the Eligible Areas, and where prohibited by law. Participation constitutes participant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Promotion. This Promotion is in no way sponsored, endorsed or administered by, or associated with Instagram. The Promotion is subject to all federal, state and local laws.
3. Timing: The Promotion starts on August 5, 2023 at 4:00 PM ET (1:00 PM PT) and ends on August 5, 2023 at 4:30 ET (1:30 PM PT) (the “Promotion Period”). Sponsor or its designee shall be the official timekeeper of the Promotion.
4. How to Enter: The Promotion consists of three prize drawings (each a “Prize Drawing”). One Prize Drawing will occur at the Alexander Wang flagship store in New York, NY (103 Grand St, New York, NY 10013) (the “New York Store”). The second Prize Drawing will occur at the Alexander Wang South Coast Plaza store in Costa Mesa, CA (the “Costa Mesa Store”). The third Prize Drawing will occur at the Alexander Wang American Dream store in East Rutherford, NJ (the “East Rutherford Store”). To enter, participants must be physically present in the New York Store, the Costa Mesa Store, or the East Rutherford Store at the time of the Prize Drawing and their iPhone settings must permit the AirDrop described in Section 4 below. The New York Store and East Rutherford Store Prize Drawings are limited to entrants residing in the Greater New York Metropolitan Area; the Costa Mesa Prize Drawing is limited to entrants residing in the greater Los Angeles metropolitan area.
5. Winner Selection & Notification: At some point during the Promotion Period, Sponsor or Sponsor’s designated agent will randomly AirDrop a prize notification to one (1) entrant that is physically present at the New York Store, one (1) entrant that is physically present at the Costa Mesa Store, and one (1) entrant that is physically present at the East Rutherford Store, for a total of three (3) potential winners. Sponsor is not responsible for failure to receive the prize notification due to any settings on the participant’s iPhone. Failure to respond to the prize notification within FIVE MINUTES or failure to accept the prize according to Sponsor’s instructions may result in the selection of an alternate potential winner. Where permitted by law, potential prize winners may be required to submit a publicity release and limitation of liability. Failure to complete such documents may also result in the selection of an alternate potential winner. Limit: Prizes are limited to one (1) per person during the Promotion Period. The odds of winning the Promotion depend on the number of participants. The potential winner will be deemed to be the natural person assigned the iPhone account associated with the entry. Sponsor is not responsible for technical failures, including those related to cellular service or Internet connection.
6. Prizes and Approximate Retail Value (“ARV”): Three (3) winners (one per Prize Drawing) will each receive a prize consisting of the full Alexander Wang bodywear collection, consisting of six (6) bodywear styles including a string bikini brief, classic bandeau bra, triangle cut thong, triangle bra, cropped t-shirt with logo elastic, and a boyshort Approximate retail value (“ARV”) of each prize package: $290. Aggregate ARV of all prizes available in Promotion: $870. Actual retail value may vary and Sponsor will not award the difference between the ARV and actual value. Items comprising the prize package are subject to availability. All details of any prize not specified herein (including availability of color and sizing) shall be determined solely by Sponsor. Sponsor reserves the right to not seek an alternate potential prize winner in the event that the individual originally selected is disqualified, at Sponsor’s sole discretion. Prizes are non-transferable and are not redeemable for cash. No prize substitutions allowed, except that Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value if advertised prizes become unavailable. By accepting a prize, each winner acknowledges compliance with these Official Rules. All federal, state, or other tax liabilities arising from this Promotion are the sole responsibility of the prize winner.
7. Release: By accepting any prize, winner agrees to release and hold harmless the Sponsor, Instagram, and their respective parent companies, subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of any prize. The potential winner may be required to complete an affidavit of eligibility, a liability release, and (where legal) a publicity release, which must be returned within the time period specified by Sponsor in the notification. If documents are not returned timely, or if any notification or prize is returned as non-deliverable, or if a potential winner is found to be ineligible or not in compliance with these Official Rules, the prize may be forfeited and an alternate potential winner may be selected, in Sponsor’s sole discretion.
WITHOUT LIMITING THE FOREGOING, AND EXCEPT WHERE PROHIBITED BY LAW, EVERYTHING REGARDING THIS PROMOTION, INCLUDING THE PRIZE, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8. License: By accepting any prize, participants grant to the Sponsor the right, without limitation, to use the winner’s name, city, state, likeness, photo, entry and/or prize information in connection with the Promotion for promotional, advertising or other purposes, and to display the selected entry in any media now known or hereinafter developed.
9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any other factor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, select a winner from all non-suspect entries received prior to such event, if applicable. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated entries. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. All interpretations of these Official Rules and decisions by Sponsor are final and binding in all matters related to the Promotion.
10. Limitations of Liability: Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by participant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines, Internet connections, social networking websites, network hardware or software, or any matters pertaining to a participant’s iPhone; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Promotion, the announcement of the prizes or in any Promotion-related materials; (5) late, lost, deleted, undeliverable, damaged or stolen entries; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participant’s participation in the Promotion or receipt or use or misuse of any prize.
11. Governing Law: Except where prohibited, each participant hereby agrees by participating that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in New York, New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, the rights and obligations of participants, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the state of New York, without giving effect to any choice of law or conflict of law rules (whether of the state of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of New York.
